AMSC Provides Update on Litigation With Ghodawat Energy

DEVENS, Mass., Sept. 4, 2014 (GLOBE NEWSWIRE) -- AMSC (Nasdaq:AMSC), a global solutions provider serving wind and power grid industry leaders, was notified on September 1, 2014 that the Arbitration Tribunal for the ICC International Court of Arbitration ("ICC Court") issued an award in the arbitration proceedings which began in 2011 between the Company's wholly-owned Austrian subsidiary, AMSC Austria GmbH ("AMSC Austria") and Ghodawat Energy Pvt Ltd ("Ghodawat"), a company registered in India and a former licensee of AMSC Austria's wind turbine technology, relating to Ghodawat's claim that AMSC Austria breached the license agreement that was entered into in 2008 between the parties. The ICC Court found that AMSC Austria breached the license agreement and awarded Ghodawat approximately US$11.0 million in damages and costs, including interest.

The Company believes that it has sufficient available liquidity to satisfy the award, if required, and to fund its operations for at least the next twelve months. Available liquidity includes amounts expected to be available under its At Market Sales Facility.

The Company expects to record a charge of approximately $10.5 million in its second fiscal quarter ending September 30, 2014 for this award. As a result, AMSC is adjusting its GAAP net loss guidance for the second quarter of fiscal 2014 to be less than $26.0 million, or $0.33 per share.

Background

Ghodawat lodged a Request for Arbitration with the ICC Court on May 12, 2011 and named AMSC Austria as the Respondent. Under the Request for Arbitration, Ghodawat alleged that AMSC Austria breached an agreement dated March 19, 2008 pursuant to which AMSC Austria granted a license to Ghodawat to manufacture, use, sell, market, erect, commission, and maintain certain wind turbines using its technical information and wind turbine design ("License Agreement"). Under the Request for Arbitration, Ghodawat's claims in this arbitration amounted to approximately €18 million ($24 million). AMSC Austria also submitted counterclaims under the License Agreement against Ghodawat in the amount of approximately €6 million ($9.0 million). On June 3, 2013, the final oral submissions hearing was conducted. On February 25, 2014, the ICC Court closed the proceedings. The Company was notified on September 1, 2014 of the award. AMSC is exploring its options with respect to the award.
